Constitution of the

Health Professions Advisors of North Carolina

Article I: Name

The name of this association shall be the Health Profession Advisors of North Carolina, hereafter referred to as HPANC.

Article II: Purpose

The purpose of HPANC shall be:

A. To provide opportunity for dialogue among advisors concerning undergraduate curricula and admissions requirements to the health professions.

B. To facilitate the exchange of ideas among health professions advisors.

C. To facilitate dialogue between health professions advisors and admissions officers of health professions schools.

D. To provide leadership in addressing problems related to professional school admissions.

Article III: Membership and Voting Rights

A. Membership is open to individuals who support the goals of this organization and/or who routinely advise students seeking a career in the health professions.

B. Members of HPANC in good standing are eligible to serve in all elected positions, have the privileges of the floor in all discussions at official meetings and may vote on all matters under discussion at these meetings.

C. Termination of Membership

Individuals who are in arrears for non-payment of dues for one year and have been so notified shall be removed from the membership roll by majority vote of the Executive

Council.

Article IV: Officers and Executive Council

A. The officers of HPANC shall be the President, Vice President, Secretary. Treasurer and Historian.

B. The Executive Council shall consist of the officers and three other HPANC members elected by the membership. The Council, with the President as presiding officer, shall oversee all business of the organization. Any decision of the officers shall be rescinded by two-thirds vote of the Executive Council members.

C. Nominations for officers and other Executive Council positions shall be made by the Executive Council and shall be publicized in advance of elections. Members of HPANC may also make nominations from the floor. Election shall be by a vote of simple majority of the membership at an official meeting of HPANC.

D. The terms of all offices shall be three years beginning at the close of an official meeting in which the election was held. No officer or Executive Council member may serve more than two consecutive terms unless there is an unanimous vote by the Executive Council and the membership at an official meeting.

E. In the event that an officer or board member cannot complete a term in office, the President shall appoint a replacement who shall complete the term. The Vice President shall assume the Office of President in the event that the President is not able to fulfill the duties of that office.

F. The duties of each elected officer and board member are set in the Bylaws.

Article V: Committees

A. The President with the approval of the Executive Council, shall appoint members in good standing to serve on committees. Each committee elects its  chair.

B. The committees shall keep minutes and shall submit reports to the Executive Council. The secretary of HPANC shall receive all records of committee meetings.

C. Committees are dissolved at the end of three years or earlier, unless extended by majority vote of the Executive Council.

Article VI: Meetings and Quorums:

A. HPANC meetings shall be held annually at such time and place as the Executive Council shall determine. Additional meetings may be set by the Executive Council. The President shall preside over these meetings.

B. Twenty-five percent of the membership shall constitute a quorum for the transaction of business at official meetings. Decisions require a simple majority vote of those members present except for changes to the constitution.

C. The President shall establish the order of business. Any decision of the President may be overturned by two-thirds of the membership present.

Article VII: Finances and Dues

A. The annual dues and other obligations of each member shall be fixed by the Bylaws.

B. The President and Treasurer shall draw up a budget and present it to the Executive Council for approval. The membership shall give final approval of the budget.

C. At the end of each fiscal year, the President shall request that the Treasurer account for all financial activities of HPANC and file necessary tax information.

Article VIII: Amendments to the Constitution

An amendment of the constitution may be proposed and submitted to the Secretary in writing by any HPANC member in good standing. Proposed amendments shall be mailed to HPANC members not less than one-month before a vote is taken. Approval of an amendment requires two-thirds of the membership present at an official meetings of HPANC. By unanimous vote of the membership, the one month advance notice for an amendment may be waived.

Bylaws of the

Health Professions Advisors of North Carolina

Article I. Fiscal Year:

The fiscal year for the Association shall be from July I through June 30.

Article II. Duties of Officers and Advisory Board:

A. The Presidents hall be the executive officer of HPANC and shall supervise all business of the organization. Among the duties are: calling and presiding over meetings of the Executive Council and HPANC meetings, setting the agenda and/or program for official meetings supervising any publications of the HIPANC, authorizing within the budget of the organization the employment of persons deemed necessary for the proper conduct of the affairs of the organization, and making reports, recommendations, and suggestions to the Executive Council for the benefit of the organization. The President shall give a yearly report on the state of HPANC to the members of HPANC.

B. The Vice-President shall be the chief counsel to the President, assisting in all duties. In the absence of the President, or in the event of the President's inability to act, the Vice-President shall perform the duties of the President.

C. The Secretary shall take the minutes of the meetings of the Executive Council and general meetings and be custodian of all records of the organization. The secretary shall determine quorums and the eligibility of any member seeking elected office and in general, perform all duties incident of the office and other duties assigned by the President. The Secretary shall keep a membership list, maintain appropriate mailing data and send notification of deliquency to members in arrears with dues. The secretary shall make a recommendation to the Executive Council for termination of members that are deliquent.

D. The Treasurer shall have charge of all funds of the organization, shall maintain records of expenditures and receipts and perform all duties incident to the office and such other duties as may be assigned by the President and/or the Executive Council. The Treasurer shall provide a written account of financial transaction of the organization.

E. The Historian shall keep the archives of HPANC. To facilitate this work, all officers shall send copies of reports, minutes, programs, membership rolls and other materials to the historian in a timely fashion. Members of HPANC may send information to the Executive Council for archival consideration.

F. Elected members of the Executive Council, other than officers, shall be advisory to the officers and perform duties designated by the President.

Articles III. Meetings of the Executive Council:

A. The President shall call a meeting of the Executive Council at least once a year, typically during the annual meeting of HPANC. Notice of the meeting, stating the place, day and hour shall be sent by the President to all members of the Executive Council no less than five (5) days before the meeting. A majority of members of the Council shall constitute a quorum for the transaction of business.

B. Special meetings of the Executive Council may be called by the President or by a majority of the Council members.

C. The Secretary shall, within three months after the annual meeting, make a summary report of all action taken by the Council.

D. Committee chairs may be invited to meetings of the Executive Council to present and discuss their reports.

E.  Institutions which host HPANC meetings may assist in planning and funding these gatherings.

F. An Executive Council member who fails to attend two consecutive Executive Council meetings without notifying the Secretary shall be asked to resign.

Article IV. Appointment and Discharge Committee:

The President acting under the authority of the Executive Council, shall appoint and discharge standing and ad hoc committees. In cases of disagreement with the President, majority of the Executive Council may appoint and discharge standing and ad hoc committees.

Article V. Finances and Dues:

A. The Executive Council may authorize in writing any officer or officers to enter into contracts or to execute and deliver any instrument in the name of or in behalf of HPANC, and such authority may be general or confined to specific instances.

B. All checks, drafts, or other orders for the payment of money in the name of HPANC shall be signed by the Treasurer or President.

C. All funds of the organization not otherwise employed shall be deposited from time to time to the credit of HPANC in such banks or other depositories as the Executive Council may select.

D. Timely audits of HPANC books and accounts shall be authorized by the President who shall appoint an ad- hoc committee of two HPANC members for this purpose. The committee will make its report to the Executive Council. When deemed appropriate, the Executive Council may employ an independent professional auditing firm.

E. Dues are payable on or before I December of each fiscal year, and are set by the Executive Council subject to majority approval. Notice and collection of dues is made by the Secretary. Dues are forwarded to the Treasurer for deposit in the HPANC account.

Article VI. Policy Matters:

Matters of policy shall be determined by the Executive Council. If twenty-five percent of the council questions the advisability of any proposed action or course of procedure the matter shall be referred to the HPANC membership for advice or approval.

Article VIf. Amendments to the Bylaws:

Amendents to the Bylaws may be made by simple majority of a quorum at annual or special meetings of HPANC.
